1. Free beta; use at your own risk

Mutual Assent AI is experimental beta software offered free of charge for evaluation. The service may contain errors, lose data, change without notice, or become unavailable. You use it entirely at your own risk.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, DELIVERY, ENFORCEABILITY, OR FITNESS OF ANY AGREEMENT FOR YOUR NEEDS.

2. Not legal advice

Mutual Assent AI is a technology service, not a law firm. It does not provide legal advice, legal representation, or a substitute for advice from a qualified attorney. No attorney-client, fiduciary, agency, partnership, or other professional relationship is created by your use of the service.

Templates, automated workflows, agent actions, explanations, and generated documents may not be suitable, complete, enforceable, or lawful in your jurisdiction or circumstances. You are responsible for reviewing every agreement and obtaining independent legal advice before approving or signing it.

3. We are not a party to user agreements

Mutual Assent AI and its owner or operator are not parties to, beneficiaries of, brokers for, or guarantors of any agreement created, negotiated, transmitted, or signed through the service. We do not verify a party’s identity, authority, capacity, representations, performance, or compliance unless the service expressly states otherwise.

Disputes about an agreement, disclosure, signature, negotiation, payment, performance, or relationship are solely between the parties to that agreement. You agree not to name or involve Mutual Assent AI or its owner or operator in such disputes except where applicable law does not permit this limitation.

4. Your responsibilities

You represent that you are at least 18 years old, may enter into these Terms, and have authority to act for any organization you identify. You are responsible for:

• the accuracy, legality, and appropriateness of all names, addresses, email addresses, agreement terms, instructions, uploads, and signatures you provide;
• confirming the identity and authority of every counterparty and signatory;
• reviewing the complete current version before approving or signing;
• protecting account credentials, one-time codes, and private agreement links;
• maintaining your own copies and backups of important records; and
• complying with applicable laws, professional duties, sanctions, export controls, and recordkeeping requirements.

5. AI agents and electronic signatures

You may direct a compatible AI agent to use available site tools on your behalf. You remain responsible for the agent you select, its instructions, and every action it takes. Agent actions may prepare, edit, redline, approve, invite, retrieve, or monitor agreements as the interface permits, but only a human may apply a signature.

You consent to electronic records and signatures. You must not allow an agent or another person to impersonate a signatory, obtain a signing code without authorization, or sign for someone else. You are responsible for determining whether electronic signatures are appropriate for your transaction and jurisdiction.

6. Acceptable use

You may not use the service to violate law or another person’s rights; impersonate anyone; send deceptive or unsolicited messages; introduce malware; probe or bypass security; interfere with the service; harvest data; or create, transmit, or sign a document without proper authorization. Do not submit highly sensitive information that is unnecessary for an agreement, such as passwords, payment-card numbers, Social Security numbers, protected health information, or government identification numbers.

7. Templates and intellectual property

You retain rights in content you submit. You grant us a limited license to host, process, reproduce, transmit, and format that content only as needed to operate, secure, and improve the service.

The standard Mutual NDA is adapted from the Common Paper Mutual Non-Disclosure Agreement Version 1.0, used under the Creative Commons Attribution 4.0 International license. Common Paper is not affiliated with or responsible for Mutual Assent AI. Other service software, branding, and interface elements remain the property of their respective owners and licensors.

8. Suspension and changes

We may modify, limit, suspend, or discontinue any beta feature or the entire service at any time. We may restrict access when reasonably necessary to protect users, comply with law, prevent abuse, or address security or operational risks. Material changes to these Terms will be posted with a new effective date.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUTUAL ASSENT AI AND ITS OWNER, OPERATOR, CONTRIBUTORS, SERVICE PROVIDERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, OR DATA; OR CLAIMS ARISING FROM AGREEMENTS OR DISPUTES BETWEEN USERS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID TO USE THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

10. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Mutual Assent AI and its owner, operator, contributors, service providers, and affiliates from third-party claims, damages, losses, liabilities, costs, and reasonable legal fees arising from your content, your agent’s actions, your agreement or dispute with another party, your violation of these Terms, or your infringement of another person’s rights.

11. General

These Terms and the Privacy Notice are the entire agreement between you and the service operator concerning the service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale. These Terms are governed by New York law, without regard to conflicts principles, and disputes concerning the service must be brought in state or federal courts located in New York, except where applicable consumer law requires otherwise.
